Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Revmrr (“Revmrr,” “we,” “us,” or “our”), governing your access to and use of the Revmrr website, services, directory listings, marketplace features, APIs, and tools (collectively, the “Platform”).

By accessing, browsing, registering for an account, submitting a listing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you must not access or use the Platform.

You represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess the full legal authority to enter into these Terms on behalf of yourself or the entity you represent.

2. The Revmrr Platform

Revmrr operates a startup intelligence index and marketplace directory. Our services enable founders to showcase verified revenue, growth metrics, and product architectures; allow builders and entrepreneurs to benchmark performance; and allow prospective acquirers to identify business acquisition opportunities.

We reserve the right to modify, suspend, or discontinue any feature, index, dataset, or service at any time with or without notice. We are not liable to you or any third party should any part of the Platform be altered or temporarily unavailable.

3. Startup Listings & Claiming Business Profiles

Revmrr indexes startup information gathered through direct founder submissions, public records, and platform claim workflows:

• Authority to Submit & Claim: You may only submit or claim a business profile if you are an authorized officer, owner, founder, or designated representative of that entity. Claiming a profile without legitimate authorization is a material breach of these Terms.
• Accuracy of Submitted Information: You agree to provide truthful, accurate, and current information regarding business name, domain, metrics (such as Monthly Recurring Revenue, Annual Recurring Revenue, growth rates, customer numbers), tech stack, and ownership details.
• Right of Review & Moderation: Revmrr reserves the unrestricted right, in its sole discretion, to reject, modify, unpublish, or permanently delete any listing, profile, or claim that contains fraudulent figures, copyright infringements, misleading information, or otherwise breaches these Terms.

4. The Verification System & Badges

Revmrr features trust badges designed to bring transparency to startup metrics:

Verification is never for sale: We do not sell verification badges. Sponsoring a placement or paying for an advertising slot has zero effect on whether a badge is awarded or maintained. Badges reflect metrics verified at a specific point in time; they are not an ongoing audit, guarantee of future performance, or financial endorsement by Revmrr.

5. Acquisition Marketplace & Disclaimer of Brokerage

When you list a business for sale under our “For Sale” marketplace or submit an acquisition offer/inquiry:

• Direct Negotiations: All discussions, letters of intent (LOIs), asset purchase agreements (APAs), valuations, negotiations, and financial settlements occur directly between the buyer and the seller. Revmrr is not a party to any contract or transaction between users.
• Independent Due Diligence: Buyers are solely responsible for conducting comprehensive legal, technical, financial, and regulatory due diligence. You must engage your own qualified attorneys, certified public accountants (CPAs), and technical advisors before executing any purchase.
• No Guarantee of Transaction Success: Revmrr makes no representations or warranties regarding the solvency, creditworthiness, capability, or good faith of any prospective buyer, nor the completeness or accuracy of any seller’s disclosures.

6. Revenue Data & Metric Integrity

You agree not to submit falsified, inflated, or manipulated revenue, customer counts, or valuation metrics. Connecting a payment provider using altered tokens, forged statements, or test mode data disguised as production revenue will result in immediate termination of your account, permanent revocation of all verification badges, and potential public flagging of fraudulent submissions.

7. Paid Placements & Advertising

Revmrr offers transparent, self-serve advertising options (such as our Side-Panel Sponsor placements):

• Clear Disclosure: Every sponsored placement is prominently labeled with a “Sponsored” tag and rendered in distinct styling. Sponsored cards are never disguised as organic editorial listings or verified startups.
• Slot Allocation: Sponsored slots are strictly capped across the platform to protect user experience and directory integrity.
• Prohibited Advertisements: We do not permit advertisements promoting illegal substances, predatory loans, deceptive financial schemes, malware, copyright infringement, or adult content. Revmrr reserves the right to remove any advertisement violating these standards without refund.

8. Community Feed & User Content

Users may post updates, insights, comments, and reactions on the Revmrr Feed:

• Content Ownership: You retain ownership of any text, links, or media you publish (“User Content”). By posting, you grant Revmrr a perpetual, worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content across the Platform.
• Prohibited Content: You may not post defamatory, abusive, harassing, obscene, hateful, or false statements, nor any content that breaches third-party intellectual property or confidentiality agreements.

9. Prohibited Activities & Anti-Scraping Policy

You agree not to engage in any of the following restricted actions:

• Automated Scraping: Scraping, harvesting, crawling, extracting, or compiling data from the Platform using bots, scrapers, automated scripts, or headless browsers without our prior express written permission.
• System Abuse: Overwhelming or attempting to overload platform infrastructure, circumventing API rate limits, or interfering with normal server operations.
• Security Breaches: Attempting to reverse engineer, decompile, probe, scan, or breach authentication mechanisms, session tokens, or private endpoints.
• Impersonation: Impersonating any person, founder, brand, business entity, or Revmrr staff member.

10. Intellectual Property & Fair Use

The Revmrr website, interface designs, codebase, logos, database schemas, and proprietary compilations are the exclusive intellectual property of Revmrr and protected by international copyright and trademark laws.

Third-party product names, company names, logos, and trademarks displayed on startup index profiles remain the property of their respective owners. Their display on Revmrr serves purely for identification, reporting, and descriptive fair use, and does not imply sponsorship or endorsement by such third parties unless explicitly designated.

11. Fees, Payments & Refunds

Certain features, including premium listing upgrades, sponsor slots, or subscription entitlements, may require payment:

• Payment Processing: Transactions are securely processed through third-party payment providers (such as Stripe). By purchasing, you authorize our payment processor to charge your specified payment method.
• Refund Policy: Due to the immediate delivery of digital placement and directory exposure, sponsor slot purchases and digital listing fees are non-refundable once live, unless required by applicable statutory consumer laws.

12. Disclaimers & Limitation of Liability

“As Is” Platform Provision: The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.

No Guarantee of Operational Continuity or Accuracy: Revmrr does not warrant that the service will be uninterrupted, timely, secure, or free from errors, bugs, or omissions. We do not warrant the accuracy, completeness, or reliability of financial metrics, revenue histories, tech stacks, or business claims obtained through the directory or acquisition marketplace.

Exclusion of Consequential Damages: To the maximum extent permitted by applicable law, in no event shall Revmrr, its founders, officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, goodwill, or business opportunities) arising out of or related to your use of the Platform, startup profiles, verification badges, or marketplace communications, even if advised of the possibility of such damages.

Cap on Monetary Liability: In no event shall our total aggregate liability arising out of or relating to these Terms or the Platform exceed the greater of one hundred US dollars ($100 USD) or the total amounts paid by you to Revmrr in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Revmrr, its officers, directors, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys’ fees) arising from: (a) your use of the Platform; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; (d) any startup profile, financial metric, or content you submit; or (e) any dispute, negotiation, or transaction between you and any buyer or seller contacted through the Platform.

14. Termination & Suspension

We may terminate, suspend, or restrict your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, submit fraudulent data, or engage in malicious or abusive behavior.

Upon termination, your right to use the Platform immediately ceases. Sections which by their nature should survive termination shall remain in effect, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Before filing any formal legal claim, you agree to attempt to resolve any dispute or controversy informally by contacting us. If an informal resolution cannot be reached within thirty (30) days, any dispute arising under these Terms shall be resolved in the competent courts located in Delaware.
